Mears Group PLC 31 May 2007 Total Voting Rights In conformity with the Transparency Directive's transitional provision 6 the Board of Mears Group plc ("the Company") notifies the following: As at the date of this announcement, the Company's issued share capital consists of 72,584,051 ordinary shares with a nominal value of 1p each, with voting rights ("Ordinary Shares"). The Company does not hold any Ordinary Shares in Treasury. Therefore the total number of Ordinary Shares in the Company with voting rights is 72,584,051. The increase in the number of shares (121,052 shares) relates to the exercise of share options under Mears' employee share option schemes and valid acceptances by Careforce Shareholders electing for new Mears Shares pursuant to the Offer for Careforce announced on 5 March 2007. The above figure of 72,584,051 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Service Authority's Disclosure and Transparency Rules.
